General Terms and Conditions for Services of the HumanFlow Center

The following terms and conditions apply to the services of the HumanFlow Center (hereinafter referred to as HumanFlow)

I. Conclusion of contract, termination, withdrawal, cancellation of the hotel accommodation contract

The HumanFlow accommodation contract is concluded by the written, telephone or verbal confirmation of a booking by HumanFlow or by the acceptance of an offer by HumanFlow by the guest.
If the guest terminates the contract in whole or in part by canceling the booking, HumanFlow must give its consent. If the termination of the contract is not accepted by HumanFlow, HumanFlow will endeavor to offer the free spa space to other interested parties.

If HumanFlow is unable to do so, payment of the agreed price for the contractually agreed period shall be due. The following cancellation conditions apply:

• Up to 10 days before arrival: free of charge
• 9 - 3 days before arrival: 40 %
• 2 - Arrival day: 60 %
• Non-arrival without cancellation ( No show ) 100%

The guest is granted the right to prove to HumanFlow that the actual damage incurred was less or that no damage was incurred at all.
HumanFlow is entitled to withdraw from the contract for objectively justified reasons, in particular if force majeure or other circumstances for which HumanFlow is not responsible make it impossible to fulfill the contract, participant places have been booked under misleading or false statements of material facts, e.g. concerning the guest or the purpose, and if HumanFlow has reasonable grounds to believe that the use of the service could jeopardize the smooth running of the business, the security or the reputation of HumanFlow.
If HumanFlow's withdrawal is justified, the customer is not entitled to compensation.
If the guest departs earlier than originally agreed at their own request, HumanFlow has the right to charge the full amount.

II Price increases, payment, place of performance

The agreed prices include the statutory value added tax.

HumanFlow is entitled to demand payment in the amount specified in the contract in advance of the guest's arrival at the HumanFlow Center. Other payment dates may be contractually agreed.

Accrued receivables can be made due at any time and immediate payment can be demanded. In the event of late payment, interest may be charged at a rate of 5 % above the respective prime rate of the Deutsche Bundesbank.
The guest may only offset or reduce a claim by HumanFlow with an undisputed or legally binding claim.

The place of fulfillment is Badenweiler. Payment can be made in cash or by bank transfer. If there is no other agreement, the guest can make the transfer after the end of the cure.
Payment should be made within 14 days of the end of the cure at the latest.

III. external services

In addition to HumanFlow services, third-party services may be arranged for guests, e.g. Ayurveda consultations. Third-party services are not provided by HumanFlow, but by third parties (service providers) under their own responsibility.

VI Liability / Statute of limitations

HumanFlow is liable in the area of its own service provision within the scope of the statutory provisions. Claims for damages arising from positive breach of contract, from culpa in contrahendo and from tort are limited both against HumanFlow and against its personnel to damages caused intentionally or by gross negligence. However, in the event of injury to life, limb or health, HumanFlow shall also be liable in the event of simple negligence.The limitation period for claims of the customer against HumanFlow is six months after provision of the agreed service. The short limitation period also applies in favor of HumanFlow for claims arising from culpa in contrahendo, positive breach of contract and tort.

No guarantee is given for third-party services.

VII Final provisions

For any disputes arising from this contract and its fulfillment, the jurisdiction of the court responsible for the registered office of HumanFlow is agreed, insofar as legally permissible.

Should individual provisions of these General Terms and Conditions be invalid or void, this shall not affect the validity of the remaining provisions. In all other respects, the statutory provisions shall apply.
